STANDARD PRODUCT LICENSE AGREEMENT


Effective Date: July 1, 2025
This License Agreement (“Agreement”) is entered into between Brown Developments, Inc. (“Licensor”) and you (“Licensee” or “Buyer”), effective upon your purchase of any Brown Developments’ product through our website or authorized platform.

1. Definitions
Licensed Materials: All proprietary resources developed by Brown Developments, Inc., including but not limited to the Onion Based Systems, 3Ds of Success Growth Plan, Total Success System, Be the CEO of You Systems, DIVE Systems, and any related digital templates, videos, slide decks, books, and documentation.
Authorized User(s): The individual(s) for whom a license has been purchased.
Internal Use: Personal or internal business use by Authorized Users only; does not include distribution, public teaching, or resale.

2. License Grant
Licensor grants you a non-transferable, non-exclusive, perpetual license to use the Licensed Materials for Internal Use only, limited to the number of Authorized Users purchased.

3. License Fee & Access
A one-time license fee is charged per Authorized User and is non-refundable.
Access to additional users or updates requires separate purchase.
Support and updates are not included unless explicitly stated.

4. Permitted & Restricted Uses
You may:
Download and use the materials for personal or internal business use.
Train your team members if they are covered under your license.
You may not:
Share, copy, teach, or display Licensed Materials to anyone who is not an Authorized User.
Modify, resell, or rebrand any materials without prior written consent.
Remove branding or proprietary notices from any materials.

5. Intellectual Property & Confidentiality
All rights, titles, and interests in the Licensed Materials remain with Licensor. You agree to treat all materials as confidential and take reasonable steps to prevent unauthorized use or sharing.

6. Termination
Licensor may terminate this Agreement if you breach any terms and fail to resolve the issue within 15 days of written notice. Upon termination, you must stop using and destroy all Licensed Materials.

7. Default & Enforcement
Failure to pay any license fees is considered default. Licensor may seek resolution through appropriate legal means, including small claims court in [County, State].
You agree to cover reasonable costs of collection, if applicable.

8. Indemnification
You agree to indemnify and hold harmless Brown Developments, Inc. from any misuse of the Licensed Materials that violates this Agreement.

9. Limitation of Liability
Licensor’s liability is limited to the amount you paid for the license. Brown Developments, Inc. is not liable for any indirect or consequential damages.

10. Governing Law
This Agreement is governed by the laws of the State of [Insert State], regardless of conflict-of-law rules.

11. General Provisions
This is the entire agreement between you and Brown Developments, Inc.
No changes are valid unless made in writing.
You may not transfer this license without written permission.
If any part is found invalid, the rest still applies.
This Agreement may be signed electronically or acknowledged via online acceptance.

By completing your purchase, you acknowledge that you have read, understood, and agreed to the terms of this License Agreement.
